CU Friends Rewards Program

Effective Date: October 30, 2025

The CU FRIENDS REWARDS PROGRAM (“Program”) is a free customer loyalty program operated by CU HAWAII LLC (“Company”). By enrolling in the Program, members agree to the following rules and regulations:

1. Eligibility & Enrollment

  • Participation is free and open to individuals aged 18 years or older.
  • One account per person. Multiple accounts, fraudulent activity, or account sharing may result in termination.
  • Employees of the Company may participate, but certain promotions may be excluded.
  • Enrollment requires a valid phone number and/or email address.

2. Earning Points

  • Members earn 10 points per $1 spent on eligible purchases (excluding gift cards, taxes, fees, alcohol, tobacco, lottery, and restricted items where prohibited by law).
  • Bonus points may be offered for specific promotions, featured products, or app-based orders.
  • Points are credited to accounts typically right away but can take 24–48 hours of purchase.
  • Company reserves the right to adjust points for errors, refunds, or suspected abuse.

3. Rewards & Redemption

  • Points can be redeemed for rewards as displayed in the Program catalog (available in-app, online, or in-store).
  • Rewards may include food, beverages, merchandise, or store credits, subject to availability.
  • Points have no cash value and cannot be exchanged for cash, except where required by law.
  • Once redeemed, rewards cannot be returned, exchanged, or refunded for points.
  • Members may only redeem rewards through their own account.
  • One reward redemption per transaction per hour.

4. Membership Tiers

  • Members may qualify for Friend, Good Friend, Bestie or VIP status by earning the required annual points.
  • Tier benefits reset annually; progress must be re-earned each calendar year.
  • Benefits may include bonus earn rates, monthly free items, or exclusive offers.
  • Company may adjust tier requirements and benefits with prior notice.

5. Expiration & Forfeiture

  • Points expire 12 months after the date they are earned if not redeemed.
  • Tier status is valid through the end of the following calendar year unless re-earned.
  • Inactivity (no earn or redemption activity) for 12 consecutive months may result in account deactivation and forfeiture of points.

6. Program Communications

  • Members consent to receive promotional communications, including app notifications, emails, and text messages related to Program activity.
  • Members may opt out of marketing messages but will continue to receive essential account updates.

7. Limitations

  • Program is valid only at participating CU Hawaii locations.
  • Certain items may be excluded from earning or redemption due to local laws (e.g., alcohol, tobacco, lottery, gift cards).
  • Points and rewards are non-transferable and cannot be combined across multiple accounts.
  • Company reserves the right to substitute rewards of equal or greater value.

8. Fraud, Abuse & Termination

  • Company reserves the right to investigate suspected fraud, abuse, or violations of these terms.
  • Accounts engaged in such activity may be suspended or permanently terminated, with all points forfeited.
  • Company’s decisions regarding account status and points are final.

9. Program Modifications

  • Company may modify, suspend, or terminate the Program at any time with 30 days’ notice, unless prohibited by law.
  • Changes may include point earn rates, redemption values, reward availability, or tier requirements.
  • In the event of Program termination, members will have 30 days to redeem remaining points.

10. Privacy

  • Personal information collected for the Program will be used in accordance with the Company’s Privacy Policy.
  • Data may be used to personalize offers, track Program activity, and communicate rewards opportunities.

11. Governing Law

  • The Program and these Terms are governed by the laws of the State of Hawaii.
  • Any disputes shall be resolved in accordance with applicable laws and venue requirements.

Additional Legal Provisions

12. Limitation of Liability

To the fullest extent permitted by law, CU Hawaii LLC (“Company”) shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Program, including but not limited to lost points, unauthorized access, system errors, app outages, delays, or the availability of rewards. Rewards are provided “as is” and subject to availability at participating locations. The Company makes no warranties, express or implied, regarding rewards or Program services.

13. Dispute Resolution; Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to the Program or these Terms shall be resolved exclusively by binding arbitration administered under the rules of the American Arbitration Association (AAA). Members waive the right to bring or participate in class actions or representative proceedings. The arbitration shall be conducted in the State of Hawaii, unless otherwise mutually agreed. This arbitration clause does not limit any rights that cannot be waived under applicable law.

14. Intellectual Property

All trademarks, logos, designs, program names, slogans, software, and other intellectual property associated with the Program are the exclusive property of CU Hawaii LLC. Participation in the Program does not grant members any rights to use such intellectual property without prior written consent.

15. Assignment

The Company may assign, transfer, or delegate its rights and obligations under the Program, in whole or in part, to any affiliate, successor, or purchaser without notice. Members may not transfer or assign their accounts, points, or benefits to another individual or entity.

16. Indemnification

By participating in the Program, members agree to indemnify, defend, and hold harmless CU Hawaii LLC, its officers, employees, agents, and partners from and against any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from their misuse of the Program, violation of these Terms, or infringement of any rights of a third party.

17. Force Majeure

The Company shall not be liable or responsible for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of government, terrorism, labor disputes, power outages, technical failures, or network interruptions.

18. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with the Company’s Privacy Policy and any additional Program rules or promotional terms, constitute the entire agreement between members and the Company regarding the Program and supersede all prior agreements or understandings, whether written or oral.

20. Effective Date & Updates

These Terms are effective as of the date shown above. The Company reserves the right to update or modify these Terms at any time. Updated versions will be posted in the app or on the Company’s website, and the “Effective Date” will be revised accordingly. Continued participation after updates constitutes acceptance of the revised Terms.
